Acceptance of Terms
These Terms govern access to and use of Kodux, operated by SosaDesign Enterprise SA de CV. By creating an account, accessing the platform, purchasing a subscription, or using Kodux as an authorized user, you agree to these Terms.
If a customer has signed a separate order form, service agreement, statement of work, or enterprise contract with Kodux, that written agreement controls where it conflicts with these Terms.
Platform Description
Kodux is an enterprise learning platform for medical, clinical, interventional, corporate, and professional education programs. The platform may include tools for courses, learning paths, certifications, live events, recordings, evaluations, quizzes, learner progress, analytics, company management, and related learning operations.
Customers and Authorized Users
A customer is the organization or individual that subscribes to Kodux or enters into an agreement with Kodux. Authorized users may include administrators, instructors, managers, employees, learners, partners, distributors, or other users invited by the customer.
Customers are responsible for determining who may access their workspace, assigning roles and permissions, keeping account information accurate, and ensuring that authorized users comply with these Terms.
Accounts and Security
Users are responsible for maintaining the confidentiality of login credentials and for all activity under their accounts. Customers should promptly notify Kodux of suspected unauthorized access, compromised credentials, or security issues affecting their workspace.
Customer Responsibilities
Customers are responsible for their learning programs, content, learner data, user invitations, notices, consents, legal bases for processing personal data, program configuration, certificate criteria, and compliance obligations related to their industry, organization, and training activities.
Kodux provides learning platform technology. Customers remain responsible for deciding whether their courses, assessments, certificates, training records, and educational programs meet any applicable regulatory, clinical, employment, professional, or contractual requirements.
Acceptable Use
Users may not misuse Kodux, interfere with platform security or availability, attempt unauthorized access, reverse engineer the service, upload unlawful or harmful content, send spam, infringe intellectual property rights, harass other users, or use Kodux in a way that could harm the platform, customers, learners, or third parties.
Medical and Clinical Education Disclaimer
Kodux may be used to deliver medical, clinical, interventional, or healthcare-related education, but Kodux does not provide medical advice, clinical guidance, diagnosis, treatment recommendations, legal advice, or regulatory advice. Educational content, clinical statements, professional claims, and learner eligibility requirements are the responsibility of the customer or content provider.
Content and Intellectual Property
Customers retain ownership of their uploaded courses, videos, documents, assessments, program materials, branding, and other customer content. Customers grant Kodux a limited right to host, process, display, transmit, and otherwise use customer content only as needed to provide and support the platform.
Kodux retains ownership of the platform, software, code, design, workflows, templates, documentation, trademarks, service marks, analytics structures, and related intellectual property. No rights are granted except as expressly stated in these Terms or a written agreement.
Learning Records and Certificates
Learning records and certificates reflect customer-configured programs, course rules, completion logic, attendance data, and assessment criteria. Customers are responsible for reviewing certificate language, eligibility rules, expiration periods, continuing education claims, and record accuracy.
Kodux may provide exports, reports, or analytics to support learning operations. These records are not a substitute for any official regulatory filing, professional credentialing decision, employment decision, or clinical competency determination unless the customer independently determines that use is appropriate.
Subscriptions, Fees, and Payment
Kodux may offer prepaid subscriptions, monthly or annual plans, enterprise contracts, trials, pilot programs, or custom commercial arrangements. Fees, plan limits, included features, usage allowances, taxes, renewal terms, and payment schedules may be described on an order form, checkout page, invoice, proposal, or written agreement.
For prepaid plans purchased by card or online checkout, the customer authorizes Kodux and its payment processor to charge the provided payment method for applicable fees, taxes, renewals, upgrades, add-ons, and usage-based charges disclosed at purchase or later accepted by the customer.
Customers on prepaid self-service plans may cancel anytime. If automatic renewal applies to a prepaid plan, cancellation will stop future renewal charges as long as it is completed before the renewal date. Unless required by law or expressly stated in writing, fees already paid for a prepaid billing period are non-refundable, and access may continue until the end of the paid period.
If the customer is under an enterprise contract, order form, annual commitment, minimum term, purchase order, invoice arrangement, or negotiated agreement, cancellation, renewal, payment, refund, and early termination rights are governed by that written agreement rather than the prepaid cancellation language above.
Card Payments and Failed Charges
Customers using card payments must provide current, complete, and accurate billing information. If a charge is declined, reversed, disputed, or otherwise unpaid, Kodux may retry the charge, request updated payment information, suspend access, downgrade functionality, or terminate the subscription after reasonable notice where appropriate.
Card processing is handled by third-party payment processors. Kodux does not intend to store full card numbers on its own systems. Payment processing may be subject to the processor's own terms and privacy practices.
Taxes
Fees are exclusive of applicable taxes unless stated otherwise. Customers are responsible for taxes, duties, withholding, or similar government charges arising from their purchase or use of Kodux, except for taxes based on Kodux income.
Trials and Beta Features
Kodux may offer trials, previews, pilots, or beta features. These may be limited, modified, or discontinued at any time and may not be covered by the same commitments as paid production services.
Availability and Changes
Kodux may update the platform to improve performance, security, usability, reliability, or functionality. We may add, modify, or remove features over time. Availability commitments, service levels, implementation obligations, or support response targets apply only if included in a written agreement.
Data Protection
Kodux processes personal data as described in the Privacy Policy and applicable customer agreements. Customers are responsible for providing any required notices, consents, instructions, and legal bases for personal data uploaded to or processed through their Kodux workspace.
Where Mexican data protection law applies, personal data may be handled in accordance with the Ley Federal de Protección de Datos Personales en Posesión de los Particulares and related privacy notices, as applicable. Users may review the Privacy Policy for information about ARCO rights.
Data Export and Deletion
During an active subscription, customers may request available exports of customer content or learning records, subject to platform functionality, security verification, technical limits, and any applicable agreement. After termination, Kodux may delete or retain data according to the Privacy Policy, customer agreement, backup practices, legal requirements, and legitimate business needs.
Third-Party Services
Kodux may integrate with or rely on third-party services for hosting, payments, analytics, email, video, authentication, support, or other operational needs. Third-party services may be governed by separate terms and privacy practices.
Confidentiality
Customers and Kodux may exchange non-public business, technical, pricing, product, or operational information. Each party should use reasonable care to protect confidential information and use it only for purposes related to the platform or applicable agreement.
Disclaimers
Except as expressly stated in a written agreement, Kodux is provided on an as-is and as-available basis. Kodux does not warrant that the platform will be uninterrupted, error-free, or suitable for every regulatory, clinical, educational, employment, or professional requirement.
Limitation of Liability
To the maximum extent permitted by applicable law, Kodux will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, business interruption, loss of goodwill, or loss of data. Any monetary liability should be limited as stated in the applicable written agreement, or if none exists, to the amount paid for the service during the period giving rise to the claim.
Termination
Kodux may suspend or terminate access for non-payment, security risk, misuse, violation of these Terms, legal requirement, or material breach. Customers may terminate according to their plan type, checkout terms, or written agreement.
Termination may affect access to workspaces, courses, records, reports, certificates, and administrative functionality. Customers should export needed records before termination where possible.
Changes to These Terms
Kodux may update these Terms from time to time. Updated Terms will be posted on this page. If changes materially affect customer rights or obligations, Kodux may provide additional notice where appropriate.
Governing Law and Venue
Unless a written agreement states otherwise, these Terms should be governed by the laws of Mexico, without regard to conflict of law principles. The specific courts, jurisdiction, venue, dispute resolution process, and language of controlling documents should be reviewed and confirmed by legal counsel before production use.
